CORENTUS PRACTITIONER & PARTICIPANT AGREEMENT
+ TERMS OF SERVICE

This Participant Agreement and Terms of Service (the “Agreement”) governs the enrollment of participants in courses and programs offered by Corentus, Inc., a Delaware corporation with an office at 87 Pleasant Street, Lexington, MA 02421 (“Corentus”), and the use of the Corentus website and related services (the “Service”). By purchasing or participating in a Course, or by accessing or using the Service, you (“Participant,” “Practitioner,” “you,” or “your”) agree to be legally bound by this Agreement.

If you are purchasing or participating in a Course on behalf of an organization, you represent that you are authorized to bind such organization to this Agreement, and the terms “Participant” and “you” shall include both you, the individual user, and such organization.

If you do not agree to the terms of this Agreement, you may not purchase or participate in any Courses or use the Service.

1. Courses

1.1 Training.
Corentus will provide training to enable the Participant to practice the applicable Corentus Team Tool or Microtool. Training may be provided through in-person, virtual, or asynchronous formats. During the Course, participants will have access to a trainer, Course Materials, and resources selected by Corentus. The content, timing, and format of training and materials will be determined by Corentus in its sole discretion.

1.2 Participation.
Participant shall use best efforts to attend all scheduled sessions and complete all required assignments promptly.

1.3 Completion.
Upon satisfactory completion of all requirements, as determined by Corentus in its sole discretion, Participant will receive a certificate of completion authorizing limited use of the Team Tool or Microtool with Participant’s clients or immediate work team.

1.4 Non-Completion.
If Participant fails to complete the Course to Corentus’ satisfaction, or ceases participation, no certificate will be issued, Participant shall not be authorized to use the Team Tool or Microtool, and no refunds of fees will be provided.

2. Intellectual Property and Copyright

2.1 Ownership.
All Corentus course materials, training tools, microtools, trademarks, service marks, designs, logos, and related intellectual property (collectively, “Corentus Intellectual Property”) are owned by or licensed to Corentus and are protected by copyright, trademark, and other applicable intellectual property laws.

2.2 Limited License.
Subject to successful completion of the Course, Corentus grants Participant a limited, non-exclusive, non-transferable license to use the Corentus Intellectual Property solely to:
(a) Instruct Participant’s clients in the direct practice of the Team Tool or Microtool; and
(b) practice the Team Tool or Microtool with members of Participant’s immediate work team.

2.3 Restrictions.
Participant shall not:

  • alter, modify, or repackage Course Materials;

  • record or distribute Course sessions or trainings;

  • use Course Materials to teach others how to train or certify others in Corentus tools; or

  • use Corentus Intellectual Property outside the scope of the license granted herein.

2.4 Attribution.
Participant shall retain all copyright, trademark, and logo markings on Course Materials, and shall clearly attribute all content and tools to Corentus when used with clients or teams.

3. Confidentiality

Participant may obtain confidential or proprietary information during the Course (“Confidential Information”). Participant agrees to maintain such information in strict confidence, not to disclose it to third parties, and not to use it for any purpose other than participation in the Course, except as required by law.

4. Media Release

Participant grants to Corentus the perpetual, worldwide right to use Participant’s name, likeness, voice, and non-confidential statements, including photographs, video, and audio recordings, for training, marketing, and promotional purposes, without compensation.

5. Payments and Refunds

5.1 Fees.
All Course fees (“Fees”) must be paid in full prior to enrollment.

5.2 No Refunds.
All Fees are non-refundable, including in cases of non-completion or termination.

6. Service Terms (Website and Online Services)

6.1 Access.
Your use of the Corentus website and related services constitutes acceptance of this Agreement.

6.2 Termination of Access.
Corentus may suspend or terminate Participant’s access to the Service at any time, with or without cause.

6.3 Third-Party Links.
The Service may contain links to third-party websites. Corentus is not responsible for the content, policies, or practices of third parties.

7. Disclaimers and Limitation of Liability

7.1 Disclaimers.
The Courses, Course Materials, Corentus Intellectual Property, and the Service are provided “as is,” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

7.2 Limitation of Liability.
In no event shall Corentus be liable for indirect, incidental, special, consequential, or punitive damages. Corentus’ total liability shall not exceed the total Fees paid by Participant.

8. Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of the Commonwealth of Massachusetts. Disputes shall first be subject to direct negotiation and, if unresolved, to mediation. If further unresolved, disputes shall be brought exclusively in the state or federal courts located in Middlesex County, Massachusetts.

9. Miscellaneous

9.1 Independent Parties.
This Agreement does not create any partnership, joint venture, employment, or agency relationship.

9.2 Force Majeure.
Neither party shall be liable for delays or failures caused by events beyond its reasonable control.

9.3 Amendments.
Corentus may amend this Agreement by posting a revised version on its website. Continued participation constitutes acceptance of such changes.

9.4 Entire Agreement.
This Agreement constitutes the entire agreement between the Participant and Corentus, superseding all prior agreements relating to its subject matter.

9.5 Severability.
If any provision of this Agreement is held unenforceable, the remaining provisions shall remain in full force and effect.
